Terms of service

1. Who these terms are between

These terms are an agreement between you and True Meridian AI, which operates Firstday. We call ourselves "Firstday", "we", or "us". The website, the mobile app, and the services offered through them are the "Platform".

By creating an account or using the Platform you accept these terms. If you do not accept them, do not use the Platform.

2. Two kinds of user

The Platform has two kinds of user, and some sections apply only to one:

Members

You may register as a Member if you are between 15 and 25 years old and live in or near the area Firstday currently serves.

If you are under 16, you need a parent or legal guardian to approve your account before you can use it, and to approve each RSVP before it is confirmed. During registration we collect your guardian's name and contact details and send them a request to confirm. Your account stays inactive until they do.

A guardian who approves an account is agreeing to these terms on behalf of the young person and confirming they have authority to do so. A guardian can withdraw approval at any time by contacting us, which closes the account.

If you are 16 or older you can register on your own.

Organizations

You may register an Organization if you are authorized to act for it and it is a lawfully operating sports team, arts program, tutoring service, club, charity, non-profit, or community group. We may ask for proof of registered status, insurance, or screening policies, and we may decline or remove any Organization.

4. What Firstday is, and what it is not

This section matters more than any other, so it is written plainly.

Firstday is a listing and discovery service. We help Members find free trial days near them and help Organizations get new people through the door. That is the whole of what we do.

We are not a party to any trial day. When a Member attends a trial day hosted by an Organization, that arrangement is between those two. We are not the host, the supervisor, the insurer, or the agent of either side.

Specifically, we do not:

If you list a trial day on Firstday, you agree that:

6. RSVPs, capacity, and bringing a friend

An RSVP tells an Organization you plan to come. It is not a guaranteed spot: some trial days have limited capacity, and an Organization may need to turn people away if a listing fills up faster than expected.

Firstday lets a Member bring a friend on the same RSVP where an Organization allows it. A friend who is also 15 to 25 needs their own account, and if they are under 16, their own guardian approval, before attending.

Trial days listed on Firstday are free to the Member. We are not responsible if an Organization asks for payment inconsistent with a listing, and you should tell us at caelen@truemeridianai.com if that happens.

7. The matcher

Firstday asks Members to pick a short list of interests, together with location and stated travel range, and uses that to rank nearby trial days automatically.

The ranking is a suggestion produced by software. It is not an assessment of your ability or character, and it is not advice. A high or low ranking does not mean you should or should not RSVP. You choose what to RSVP to, and Organizations choose who to welcome in. Nothing is booked on your behalf.

8. Fees

Members

Firstday is free for Members. Creating an account, picking interests, browsing listings, and RSVPing cost nothing.

Organizations

Listing a trial day is free while Firstday runs its initial pilot. We do not currently charge Organizations anything to list, update, or cancel a listing.

If that changes, we will give existing Organizations at least 30 days' notice by email before introducing any fee, and no fee will apply retroactively to a listing already posted.

9. Your account

Keep your login details to yourself and tell us promptly if you think someone else has access. You are responsible for activity under your account. Give us accurate information and keep it current. One person, one account.

10. Acceptable use

Do not use Firstday to:

11. Content you submit

You keep ownership of what you post. You grant us a non-exclusive, royalty-free licence to host, store, reproduce, and display it as needed to operate and promote the Platform, for as long as you keep it posted and for a reasonable period afterward in backups.

You confirm you have the right to post what you post. We may remove content that breaches these terms.

12. Our intellectual property

The Platform, its software, design, and the Firstday name and logo belong to True Meridian AI or its licensors. These terms do not transfer any of it to you.

13. Suspension and termination

You can close your account at any time. We may suspend or close an account, remove listings, or refuse service if we reasonably believe these terms have been breached, if there is a risk to another user, or if we are required to. Where it is practical and lawful to do so, we will tell you why.

Sections 4, 6, 11, 12, 14, 15, 16, and 18 survive termination.

14. Disclaimers

Except where the law does not allow it, the Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error free, or secure, or that any listing, Organization, or Member is suitable.

15. Limitation of liability

To the fullest extent the law allows:

Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, for fraud, or for anything else that may not be excluded under Ontario law. If you are a consumer under the Consumer Protection Act, 2002 (Ontario), that Act gives you rights these terms cannot take away, and nothing here is intended to waive them.

16. Indemnity

If you are an Organization, you agree to indemnify us against claims, losses, and reasonable legal costs arising from your listings, your trial days, your screening or supervision, or your breach of these terms, except to the extent caused by us.

17. Changes

We may change these terms. If a change materially affects your rights we will give at least 30 days' notice by email or in the app before it takes effect. Continuing to use the Platform after that means you accept the change. If you do not, close your account.

18. Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, and you and we each submit to them. This does not affect your right to bring a claim in the Small Claims Court, or any right you have to make a complaint to a regulator.

19. General

If a provision is found unenforceable, the rest stays in force. Our not enforcing something is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor. These terms, with the Privacy Policy and Cookie Policy, are the whole agreement between us.
