Terms of service
1. Who these terms are between
These terms are an agreement between you and True Meridian AI, which operates Rally. We call ourselves "Rally", "we", or "us". The website, the mobile app, and the services offered through them are the "Platform".
By creating an account or using the Platform you accept these terms. If you do not accept them, do not use the Platform.
You can reach us any time at caelen@truemeridianai.com.
2. Two kinds of user
The Platform has two kinds of user, and some sections apply only to one:
- Participants are individuals aged 15 to 25 who use Rally to find volunteer shifts, roster spots, and other opportunities.
- Organizations are the charities, non-profits, recreational leagues, and other groups that post listings and host Participants.
3. Eligibility and guardian consent
Participants
You may register as a Participant if you are between 15 and 25 years old and live in or near the area Rally currently serves.
If you are under 16, you need a parent or legal guardian to approve your account before you can use it, and to approve each placement before it begins. During registration we collect your guardian's name and contact details and send them a request to confirm. Your account stays inactive until they do.
A guardian who approves an account is agreeing to these terms on behalf of the young person and confirming they have authority to do so. A guardian can withdraw approval at any time by contacting us, which closes the account.
If you are 16 or older you can register on your own.
Organizations
You may register an Organization if you are authorized to act for it and it is a lawfully operating charity, non-profit, league, or community group. We may ask for proof of registered status, insurance, or screening policies, and we may decline or remove any Organization.
4. What Rally is, and what it is not
This section matters more than any other, so it is written plainly.
Rally is a listing and matching service. We help Participants find opportunities and help Organizations find people. That is the whole of what we do.
We are not a party to any placement. When a Participant volunteers with, plays for, or is otherwise engaged by an Organization, that arrangement is between those two. We are not the employer, the host, the supervisor, the insurer, or the agent of either side.
Specifically, we do not:
- employ Participants, or place them as employees;
- supervise placements, or attend them;
- conduct police record checks, vulnerable sector checks, reference checks, or any other screening of Participants or of Organizations and their staff, unless we say otherwise in writing;
- verify that an Organization is safe, adequately insured, or compliant with the law;
- guarantee that a listing is accurate, that a placement will go ahead, or that hours will be offered or confirmed.
Both sides are responsible for satisfying themselves about the other before anything begins.
5. Obligations of Organizations
If you post listings on Rally, you agree that:
- you are solely responsible for the safety and supervision of Participants while they are with you;
- you will carry out whatever screening the law and your own policies require, including police record checks and vulnerable sector checks where applicable, and you will not rely on Rally to have done any of it;
- you will comply with the Occupational Health and Safety Act, the Employment Standards Act, 2000 where it applies, the Human Rights Code, and any other law that governs your relationship with the people who work or volunteer for you;
- you carry insurance appropriate to your activities, covering volunteers and participants;
- where a Participant is under 18, you will follow any additional supervision and consent requirements that apply, including the guardian approval recorded on the Platform;
- your listings are accurate, and you will not use Rally to recruit for paid employment while describing it as volunteering, or the reverse;
- you will confirm hours honestly and promptly.
6. Hours tracking and school credit
Rally records the shifts you check in to and lets an Organization confirm them, then lets you export the record. That record is a convenience, not a certification.
We do not decide whether your hours count for school. Community involvement requirements are set by the Province and administered by your school board and your school. Requirements, acceptable activities, and acceptable documentation differ between boards. Check with your guidance counsellor before relying on Rally's record, and keep any documentation your school asks for separately.
We are not responsible if a school, board, or other body declines to accept a record exported from Rally.
7. The matcher
Rally asks Participants to complete a strengths survey and uses the results, together with location and stated travel range, to rank listings automatically.
The ranking is a suggestion produced by software. It is not an assessment of your ability, character, or suitability, and it is not advice. A high or low ranking does not mean you should or should not apply. You choose what to apply for, and Organizations choose who to accept. Nothing is booked on your behalf.
The survey is inspired by strengths-based assessment methods generally. It is not CliftonStrengths, and it is not affiliated with, endorsed by, or derived from any product of Gallup, Inc.
8. Fees
Participants
Rally is free for Participants. Creating an account, taking the survey, applying to listings, logging hours, and exporting a record cost nothing.
Organizations
Listing costs $10 per month in Canadian dollars, plus applicable taxes. The fee is charged in advance and recurs monthly until cancelled. There is no cap on the number of listings a subscription covers.
You can cancel at any time from your account settings. Cancellation takes effect at the end of the period you have already paid for, and your listings come down then. We do not pro-rate partial months, except where a refund is required by law.
Performance bonuses
An Organization may choose to award a performance bonus to a Participant through the Platform. Where it does, Rally retains 10 percent of the bonus amount and the balance is passed to the Participant. This is the only fee charged in connection with a bonus.
Bonuses are entirely at the Organization's discretion. Rally does not promise, set, or guarantee any bonus, and does not pay Participants itself. The Organization is responsible for determining the correct characterization of any payment it makes and for any tax, source deduction, or reporting obligation that follows from it.
Payment processing
Payments are handled by Stripe. We do not receive or store full card numbers. Your use of that service is subject to Stripe's own terms.
9. Your account
Keep your login details to yourself and tell us promptly if you think someone else has access. You are responsible for activity under your account. Give us accurate information and keep it current. One person, one account.
10. Acceptable use
Do not use Rally to:
- harass, threaten, exploit, or endanger anyone, particularly a young person;
- misrepresent who you are, how old you are, or who you act for;
- post listings that are misleading, discriminatory, or unlawful;
- collect personal information about other users for any purpose outside a placement;
- contact a Participant through Rally for a purpose unrelated to a listing;
- scrape, copy, or resell listings or user data;
- interfere with the Platform's operation or security.
If you believe a young person is at risk, contact local police or a children's aid society first. Then tell us at caelen@truemeridianai.com so we can act on the account.
11. Content you submit
You keep ownership of what you post. You grant us a non-exclusive, royalty-free licence to host, store, reproduce, and display it as needed to operate and promote the Platform, for as long as you keep it posted and for a reasonable period afterward in backups.
You confirm you have the right to post what you post. We may remove content that breaches these terms.
12. Our intellectual property
The Platform, its software, design, and the Rally name and logo belong to True Meridian AI or its licensors. These terms do not transfer any of it to you.
13. Suspension and termination
You can close your account at any time. We may suspend or close an account, remove listings, or refuse service if we reasonably believe these terms have been breached, if there is a risk to another user, or if we are required to. Where it is practical and lawful to do so, we will tell you why.
Sections 4, 6, 11, 12, 14, 15, 16, and 18 survive termination.
14. Disclaimers
Except where the law does not allow it, the Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error free, or secure, or that any listing, Organization, or Participant is suitable.
15. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunities, or lost data, however caused;
- we are not liable for the acts or omissions of any Participant or Organization, or for anything that happens during or as a result of a placement;
- our total liability arising out of or relating to these terms or the Platform is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred Canadian dollars.
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, for fraud, or for anything else that may not be excluded under Ontario law. If you are a consumer under the Consumer Protection Act, 2002 (Ontario), that Act gives you rights these terms cannot take away, and nothing here is intended to waive them.
16. Indemnity
If you are an Organization, you agree to indemnify us against claims, losses, and reasonable legal costs arising from your listings, your placements, your screening or supervision, or your breach of these terms, except to the extent caused by us.
17. Changes
We may change these terms. If a change materially affects your rights we will give at least 30 days' notice by email or in the app before it takes effect. Continuing to use the Platform after that means you accept the change. If you do not, close your account.
18. Governing law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, and you and we each submit to them. This does not affect your right to bring a claim in the Small Claims Court, or any right you have to make a complaint to a regulator.
19. General
If a provision is found unenforceable, the rest stays in force. Our not enforcing something is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor. These terms, with the Privacy Policy and Cookie Policy, are the whole agreement between us.
